ALLOY BUZZ CREW POINTS PROGRAM
 
GUIDELINES (as December 3, 2009)
 
BY ENROLLING IN THE POINTS PROGRAM, YOU AGREE TO BE BOUND BY THESE GUIDELINES, SO PLEASE READ THEM CAREFULLY. IF YOU ARE A MINOR, YOU SHOULD DISCUSS THESE RULES WITH YOUR PARENTS OR LEGAL GUARDIANS AND GET THEIR PERMISSION TO PARTICIPATE IN THE POINTS PROGRAM.
 
1. ACKNOWLEDGMENT AND ACCEPTANCE OF POINTS PROGRAM GUIDELINES
 
The Alloy Buzz Crew Points Program ("Program”), owned by Alloy Media, LLC (hereinafter “Alloy”) and operated by Media Intel Services, LLC under the brand name Fancorp (“Operator”) is provided to you ("you" or "Member") under the terms and conditions of these Points Program Guidelines and any amendments to it and any operating rules or policies (collectively, the "Guidelines"). By enrolling in the Program you accept the Guidelines and agree to be bound by them. Alloy reserves the right to update and change these Guidelines from time to time with or without notice to you. Any failure to follow these Guidelines by you may result in the termination of your points account, and the forfeiture and relinquishment of all points you have accrued in the Program.
 
2. PROGRAM DESCRIPTION
 
The Program is in effect beginning on December 3, 2009 at 12:01 a.m. ET and will expire on May 3, 2010 at 11:59 p.m. ET, or when prizes run out (“Program Period.”) The Program allows account members registered through the online destination at www.fancorp.com (the “Program Website”) to accrue points.
 
3. PROGRAM ELIGIBILITY
 
The Program is open to legal residents of the United States residing in the 50 United States or the District of Columbia who are 13 years of age or older at time of Program registration. Residents of Puerto Rico, Guam, U.S. Virgin Islands and all other territories and countries are not permitted to participate in the Program. Employees, officers and directors of Alloy, Media Intel Services, LLC and their respective parent company, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies, and their immediate families (parent, child, sibling & spouse) and persons living in the same households of such individuals (whether related or not) are not eligible to participate in the Program. Void where prohibited or restricted by law. Eligibility will be determined by Alloy in its sole discretion.
 
4. PRIVACY POLICY AND STATEMENT
 
The personal information you provide will be utilized by Operator for administration of the Program and may be used for the purposes set forth in Operator’s Terms of Use. Alloy will not utilize your personal information other than in connection with the administration of the Program.
 
5. REGISTRATION
 
To register for the Program go to www.fancorp.com and follow the onsite instructions. During registration you will be requested to provide your name, address, email address and date of birth and also provide a password. Although Operator permits participants to work on several different programs, you may only utilize Program points to be awarded toward Program prizes. Any attempt to use multiple user names or email accounts to accumulate Program points will result in termination of your Program points, at the sole discretion of the Alloy. If for any reason your account is terminated by either you, Operator or Alloy all points accrued will be forfeited. You agree to immediately notify Operator of any unauthorized use of your account or any other breach of security known to you. In the event of a dispute concerning the identity of a member, registration will be declared made by the authorized account holder of the email address from which the registration was submitted. “Authorized account holder” is defined as the person assigned to an email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses at the time the entry was submitted.
 
6. POINT ACCUMULATION
 
Points may be accumulated in your account during the Program Period. You may accumulate points by registering for the Program (if offered) or by engaging in certain activities described on the Program website, and to use the accrued points to redeem certain offers ("Awards") as set forth on the Program web pages. Points accrued in the Program are non-transferable to other users or accounts and have no cash or monetary value. The means of accumulating points may have limits on how often you can use them, which will be set forth on the Program website. Operator expressly reserves the right to establish additional means of accruing points, to delete any or all of the means currently in effect, or to exclude specific types of transactions from the accumulation of points. Points can be accrued only for activity actually completed by you personally and can be applied only to your account. Operator will post points to your account in the frequency set forth in the Program Site. However, you are solely responsible for confirming that your points are properly credited. If you believe that points have been earned but not credited, or in cases where Operator deems verification is required, Alloy reserves the right to require proof of point accrual, including but not limited to, copies of receipts or similar documentation verifying any transactions claimed to have been performed. Alloy must receive written notice from you of any discrepancy relating to points posted on your account (sent to Alloy at the address set forth below) by no later than thirty (30) days after points were earned, otherwise points posted on account will be deemed accurate. Alloy must receive any claims of points by you and proof of accrual within two (2) months after the date such points are claimed to be earned. Points will be maintained in your account until they are redeemed for an Award or until they expire or are forfeited whichever occurs first. Unredeemed points posted in your account will expire at the end of the Program Period (please refer to information previously provided in this paragraph for product purchase submissions). A summary of the number of points required to redeem the available Awards shall be set forth on the Program website, as regards the applicable activity or promotion, and may be changed from time to time.
 
7. AWARDS
 
You may redeem points accrued in your account for Awards, as described on the Program website, provided that your Program account is in good standing at the time of the redemption request. Awards will be awarded “as is” with no warranty or guarantee, either express or implied by Alloy. Actual model or style of gift may be different from what is shown on the Program Website. Awards are nontransferable, non-substitutable, non-exchangeable nor redeemable for cash, credit, other Awards or point by recipients. Awards are subject to availability and some have limited availability. Alloy reserves the right to substitute an Award with one of comparable or greater value, at its sole discretion. Recipients are responsible for all applicable federal, state and local taxes, if any, and any other costs or expenses associated with acceptance or use of Award not specified herein as being included. Allow 4-6 weeks for awards to be delivered. Alloy must be notified no later than 10 days after that a member who ordered has not received the requested prize, or award will be forfeited. Awards will only be shipped in the United States. If any shipment of an Award is returned as undeliverable, the Award will be forfeited. If a member cannot be contacted, is ineligible, fails to make a claim for redemption of accumulated points within the required time period, or if a member fails to comply fully with these Guidelines, he/she will forfeit his points or claimed Award. All decisions of Alloy in regards to the Program are final and binding on members.
 
8. RESERVATION OF RIGHTS
 
The Program and its benefits are offered at the discretion of Alloy, and Alloy has the right to modify or discontinue, temporarily or permanently, the Program, including the points levels, in whole or in part for any reason, at its sole discretion, with or without notice to you. Alloy may, among other things, withdraw, limit, modify or cancel any Award if no longer available. In the event this Program is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of Alloy or Operator which, in the sole opinion of Alloy or Operator, corrupt, or impair the administration, security, or fairness of the Program, Alloy and Operator reserve the right in their sole discretion to suspend or terminate the Program. You agree that Released Parties (as that term is defined below) will be liable to you or any third party for any modification or discontinuance of the Program.
 
9. FRAUD
 
Tampering with any aspect of the Program and any fraud or abuse relating to the registration process, providing of personal information, accrual of points or redemption of Awards may result in disqualification, forfeiture of accrued points as well as the termination of your Program points and your account with Operator, as solely determined by Alloy and Operator. You are solely responsible for any fraudulent use of your points that could occur due to the theft of or sharing of your password. The Program is a service provided to an individual, not a company or other entity. IT IS CONSIDERED FRAUDULENT AND ABUSIVE FOR ANY INDIVIDUAL, COMPANY, OR OTHER ENTITY TO DIRECT, ENCOURAGE, OR ALLOW INDIVIDUALS TO USE AN ACCOUNT FOR THE PURPOSE OF ACCUMULATING POINTS FOR COMPANY OR ENTITY USE OR OTHER THAN FOR PERSONAL USE. IN ADDITION, ANY ATTEMPT BY ANY MEMBER OR ANY OTHER INDIVIDUAL OR ENTITY TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ALLOY AND OPERATOR RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
 
10. LIMITATION OF LIABILITY, INDEMNITY AND RELEASE
 
By participating in the Program, members agree to release, discharge and hold harmless Alloy, Operator, and their respective parents, subsidiaries, affiliates, advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, “Released Parties”) from any liability or damages which may arise out of participation in the Program or out of the acceptance, use, misuse or possession of any Award obtained through this Program. By participating, participants agree to the terms and conditions of this Program and to the decisions of Alloy, which are final and binding in all aspects. By registering for the Program, you release the Released Parties from any and all liability arising out of or relating to your participation in the Program, use of the Program Site, the redemption of points, use of Awards, or other participation in the Program. The Released Parties assume no responsibility for any misdirected or lost mail, or any error, omission, interruption, deletion, defect, delay of operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, accounts or the accumulation of points or accumulated points. The Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or applications on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to your or any other person’s computer related to or resulting from participating downloading materials in the Sweepstakes. The Released Parties are not responsible for any computer hardware or software malfunction, error or failure, or for any element of the Program that is tampered with or subject to any non-authorized human intervention. Should more Awards be made available through a computer hardware or software malfunction, error or failure, or for any other reason, than are actually available, Alloys reserve the right to award only the number of Awards available. The Released Parties are not responsible for late, misdirected, mutilated or postage due mail. UNDER NO CIRCUMSTANCES SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM THE USE OF OR INABILITY TO USE THE PROGRAM OR ANY OTHER PROVISION OF THESE GUIDELINES.
 
11. APPLICABLE LAWS
 
All applicable federal, state and local laws and regulations apply. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Guidelines, or the rights and obligations of the members and Alloy in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. In addition, any dispute relating to the Program (including these Guidelines) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the City and County of New York. You hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.
